3.Comments and User Submissions

Parts of this website offer an opportunity for users to post and exchange opinions and information in certain areas of the website. Amez Global Express (Private) Limited does not filter, edit, publish or review Comments prior to their presence on the website. Comments do not reflect the views and opinions of Amez Global Express (Private) Limited, its agents and/or affiliates. Comments reflect the views and opinions of the person who post their views and opinions. You warrant and represent that:

3.3 The Comments do not contain any defamatory, libelous, offensive, indecent or otherwise unlawful material which is an invasion of privacy;

You hereby grant Amez Global Express (Private) Limited a non-exclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of your Comments in any and all forms, formats or media.

4. Service

4.1 The Service will be offered free-of-charge for an unspecified time period unless terminated in accordance with the terms of this Agreement.

4.2 The Service will have the following core features (which may be added to or modified, or suspended for scheduled or unscheduled maintenance purposes, from time to time at the sole discretion of Amez Express and notified to you) ("Free Member Benefits"):

4.3 Amez Express may suspend or terminate all or part of the above Free Member Benefits at any time in its sole discretion without liability for any losses or damages arising out of or in connection with such suspension or termination. Amez Express reserves the right to charge for the Service or any feature or functionality of the Service at any time in its sole discretion.

4.4 Amez Express shall issue a Member ID and Password (the latter shall be chosen by the Member during registration) to each Member to access the Service through such Member's Account. Each Member shall be solely responsible for maintaining the confidentiality of its Member ID and Password and for all use of and activities that occur under the Member ID and Password (whether such use or activities are authorized or not). A set of Member ID and Password is unique to a single Account and no Member shall share, assign or permit the use of its Account, Member ID or Password to another person, even to other individuals within the Member's own business entity (where applicable). Each Member acknowledges that sharing of its Account with other persons, or allowing multiple users outside of its business entity to use its Account (collectively, "multiple use"), may cause irreparable harm to Amez Express and each Member shall indemnify Amez Express against any loss or damages (including but not limited to loss of profits) suffered by Amez Express as a result of such multiple use of an Account. Each Member hereby undertakes to notify Amez Express immediately of any unauthorized use of its Account, Member ID or Password or any other breach of security. Each Member hereby agrees that Amez Express shall not be liable for any loss or damages arising from the Member's failure to comply with this paragraph.

5. Member Responsibilities

Each Member hereby represents, warrants and agrees to:

(a) provide true, accurate, current and complete information about itself and its business references as may be required by Amez Express;

(b) maintain and promptly amend all information to keep it true, accurate, current and complete. To the extent permitted under applicable laws, each Member hereby grants an irrevocable, perpetual, worldwide and royalty-free, sub-licensable (through multiple tiers) license to Amez Express to display and use all information provided by such Member in accordance with the purposes set forth in this Agreement and to exercise the copyright, publicity, and database rights you have in such material or information, in any media now known or not currently known. Information that is protected under data protection laws will only be used and kept in compliance with those laws.

Each Member hereby represents, warrants and agrees that the use by such Member of the Service and the Sites shall not:

5.1 Contain fraudulent information or make fraudulent offers of items or involve the sale or attempted sale of counterfeit or stolen items or items whose sales and/or marketing is prohibited by applicable law, or otherwise promote other illegal activities;

5.2 Be part of a scheme to defraud other Members or other users of the Sites or for any other unlawful purpose;

5.3 Infringe or otherwise abet or encourage the infringement or violation of any third party's copyright, patent, trademarks, trade secret or other proprietary right or rights of publicity and privacy or other legitimate rights;

5.4 Impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;

5.5 Violate any applicable law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);

5.6 Contain information that is defamatory, libelous, unlawfully threatening or unlawfully harassing;

5.7 Contain information that is obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors;

5.8 Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

5.9 Contain any material that constitutes unauthorized advertising or harassment (including but not limited to spamming), invades anyone's privacy or encourages conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any law or regulation;

5.10 Involve attempts to copy, reproduce, exploit or expropriate Amez Express's various proprietary directories, databases and listings;

5.11 Involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information; and

5.12 Involve any scheme to undermine the integrity of the computer systems or networks used by Amez Express and/or any user of the Service and no Member shall attempt to gain unauthorized access to such computer systems or networks;

5.13 Link directly or indirectly to or include descriptions of goods or services or other materials that violate any law or regulation or are prohibited under this Agreement or the Terms of Use; or Otherwise create any liability for Amez Express or its affiliates.

6. Transactions Between Buyers and Vendors

6.1 Through the Sites, Amez Express provides an electronic web-based platform for exchanging information and concluding sale and purchase transactions of products and services online between buyers and sellers. Amez Express reserves the right to limit certain features and functions of the platform to prescribed Members. Despite the provision of the platform through the Sites, Amez Express does not represent the seller or the buyer in specific transactions whether or not such transactions are made on or via the Sites. Amez Express does not control and is not liable to or responsible for the quality, safety, lawfulness or availability of the products or services offered for sale on the Sites or the ability of the vendors to complete a sale or the ability of buyers to complete a purchase.

6.2 Members are hereby made aware that there may be risks of dealing with people acting under false pretenses. Amez Express uses several techniques to verify the accuracy of the information our users provide us when they register on the Sites. However, because user verification on the Internet is difficult, Amez Express cannot and does not confirm each free member's purported identity shown on the Sites and can only use reasonable efforts to verify the personal identity of the representative of a seller in Sri Lanka opening a Store on www.amezexpress.com according to the applicable laws in Sri Lanka. We encourage you to use the various tools available on the Sites, as well as common sense, to evaluate with whom you are dealing.

6.3 Each Member accessing or using the Sites or Service shall fully assume the risks of conducting any purchase and sale transactions in connection with or through the Sites or Service. Such risks shall include, but not limited to, mis-representation of products and services, fraudulent schemes, unsatisfactory quality, failure to meet specifications, defective products, delay or default in delivery or payment, cost mis-calculations, breach of warranty, breach of contract and transportation accidents ("Transaction Risks"). Each Member agrees that Amez Express shall not be liable or responsible for any damages, liabilities, costs, harms, inconveniences, business disruptions or expenditures of any kind that may arise as a result of or in connection with any Transaction Risks.

6.4 Members are solely responsible for setting out, agreeing on, entering into and performing all of the terms and conditions of the transactions conducted on, through or as a result of use of the Sites, including, without limitation, terms regarding payment, returns, warranties, shipping, insurance, fees, taxes, title, licenses, fines, permits, handling, transportation and storage, subject to any additional obligations imposed under the Transactional Services Agreement.

6.5 Member agrees to provide all information and materials as may be reasonably required by Amez Express in connection with its transactions made via the transactional platform on the Sites. Amez Express has the right to suspend or terminate any Member’s Account if the Member fails to provide the required information and materials without liability for any losses or damages arising out of or in connection with such suspension or termination.

7. Coupons

7.1 Refund Coupons: Refund Coupon can be redeemed on our Website, as full or part payment of products from our Website within the given timeline. Refund Coupon cannot be used from different account or multiple times. Coupons are not replaceable if expired.

7.2 Promotional Coupons: Promotional Coupon is non-refundable and cannot be exchanged for cash in part or full and is valid for a single transaction only. Each issued promotional Coupon will be valid for use by a customer only once. Multiple usages changing the identity is illegal. Promotional Coupon may not be valid during sale or in conjunction with any special promotion. Coupon will work only if minimum purchase amount and other conditions are met. Amez Express reserves the right to vary or terminate the operation of any Coupon at any time without notice. Amez Express shall not be liable to any customer or household for any financial loss arising out of the refusal, cancellation or withdrawal of any Coupon or any failure or inability of a customer to use a Coupon for any reason. Coupons are not replaceable if expired.

7.3 Security and Fraud: When you use a Coupon, you warrant to Amez Express that you are the duly authorized recipient of the Coupon and that you are using it in good faith. If you redeem, attempt to redeem or encourage the redemption of Coupon to obtain discounts to which you are not entitled you may be committing a civil or criminal offence. If we reasonably believe that any Coupon is being used unlawfully or illegally we may reject or cancel any Coupon/order and you agree that you will have no claim against us in respect of any rejection or cancellation. Amez Express reserves the right to take any further action it deems appropriate in such instances.

8. Intellectual Property Rights

8.1 Amez Express is the sole owner or lawful licensee of all the rights to the Service. The Service embodies trade secrets and intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Service shall remain with Amez Express, its affiliates or licensors, as the case may be. All rights not otherwise claimed under this Agreement or by Amez Express are hereby reserved.

8.2 "AMEZ", "AMEZ EXPRESS", "AMEZEXPRESS.COM" and related icons and logos are registered trademarks or trademarks or service marks of Amez Global Express (Private) Limited, and its affiliates in various jurisdictions and are protected under applicable copyright, trademark and other proprietary rights laws. The unauthorized copying, modification, use or publication of these marks is strictly prohibited.

9. Non-Competition Clause

To safeguard a professional relationship, Customers are prohibited from contacting Amez Express’s Sellers personally.

11. Taxes

You shall be responsible for payment of all fees/costs/charges associated with the purchase of products from the Site and you agree to bear any and all applicable taxes as per prevailing law.

12. Trademarks and Copyrights

Amezexpress.com, Amez Express logo, Amez Express, Amez Express Style, Amez Subsidiaries and other marks indicated on our Site are trademarks or registered trademarks in the relevant jurisdiction(s). Our graphics, logos, page headers, button icons, scripts and service names are the trademarks or trade dress and may not be used in connection with any product or service that does not belong to us or in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits us. All other trademarks that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

All intellectual property rights, whether registered or unregistered, in the Site, information content on the Site and all the website design, including, but not limited to text, graphics, software, photos, video, music, sound, and their selection and arrangement, and all software compilations, underlying source code and software shall remain our property. The entire contents of the Site also are protected by copyright, trade mark, service mark, patent or other proprietary rights and laws as under applicable laws and international conventions. 13. Indemnity

You shall indemnify and hold harmless Amez Express as owned by Amez Global Express (Private) Limited, its subsidiaries, affiliates and their respective officers, directors, agents and employees, from any claim or demand, or actions including reasonable attorney's fees, made by any third party or penalty imposed due to or arising out of your breach of these Terms and Conditions or any document incorporated by reference, or your violation of any law, rules, regulations or the rights of a third party. You hereby expressly release Amez Express as owned by Amez Global Express (Private) Limited and/or its affiliates and/or any of its officers and representatives from any cost, damage, liability or other consequence of any of the actions/inactions of the sellers or other service providers and specifically waive any claims or demands that you may have in this behalf under any statute, contract or otherwise. Your only remedy is to discontinue using the Site and its services.

14. Losses

We will not be responsible for any business or personal losses (including but not limited to loss of profits, revenue, contracts, anticipated savings, data, goodwill, or wasted expenditure) or any other indirect or consequential loss that is not reasonably foreseeable to both you and us when you commenced using the Site.

15.Third Party Businesses

Parties other than Amez Express and its affiliates may operate stores, provide services, or sell product lines on the Site. For example, businesses and individuals offer products via Marketplace. In addition, we provide links to the websites of affiliated companies and certain other businesses. We are not responsible for examining or evaluating, and we do not warrant or endorse the offerings of any of these businesses or individuals, or the content of their websites. We do not assume any responsibility or liability for the actions, products, and content of any of these and any other third-parties. You can tell when a third-party is involved in your transactions by reviewing your transaction carefully, and we may share customer information related to those transactions with that third-party. You should carefully review their privacy statements and related terms and conditions.

16. Reselling Amez Express Products

Reselling Amez Express products for business purpose is strictly prohibited. If any unauthorized personnel is found committing the above act, legal action may be taken against him/her.

17. Reservation of Rights

We reserve the right to request that you remove all links or any particular link to our Website. You approve to immediately remove all links to our Website upon request. We also reserve the right to amend these terms and conditions and its linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.

18. Removal of Links from our Website

18.1 If you find any link on our Website that is offensive for any reason, you are free to contact and inform us at any moment. We will consider requests to remove links but we are not obligated to do so or to respond to you directly.

20.2 Amez Express and the Member are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

20.3 If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

20.4 The headings in this Agreement are for convenience only and shall not affect its interpretation.
